Please join us for lunch hosted by Gibson Dunn and an update on SEC and Congressional initiatives that impact governance, disclosure and capital markets. The panel will also discuss recent capital market trends and highlights from the 2017 proxy season.

This meeting will also serve as the annual meeting for the Southern California Chapter of the Society for Corporate Governance to elect the Chapter officers and advisory committee. Ballots will be sent by email prior to the meeting.

Panelists:


Elizabeth Ising
is a partner in Gibson Dunn's Washington, D.C. office and Co-Chair of the firm's Securities Regulation and Corporate Governance practice group. She also is a member of the firm's Hostile M&A and Shareholder Activism team and Financial Institutions practice group. She advises clients, including public companies and their boards of directors, on corporate governance, securities law and regulatory matters and executive compensation best practices and disclosures. Representative matters include advising on Securities and Exchange Commission reporting requirements, proxy disclosures, director independence matters, proxy advisory services, board and committee charters and governance guidelines and disclosure controls and procedures. Ms. Ising also regularly counsels public companies on shareholder activism issues, including on shareholder proposals and preparing for and responding to hedge fund and corporate governance activism. She also advises non-profit organizations on corporate governance issues.


Charles Szurgot
is the Vice President, Chief Securities Counsel at AECOM. He joined AECOM in 2014 when it acquired URS Corporation where he served as Associate General Counsel, Securities and Corporate Counsel for 11 years. Prior to that, he worked at Wilson Sonsini and as a staff attorney in the Divisions of Corporation Finance and Market Regulation at the U.S. Securities and Exchange Commission.


Peter Wardle
is a partner in the Los Angeles office of Gibson, Dunn & Crutcher. He is a member of the firm's Corporate Transactions Department and Co-Chair of its Capital Markets Practice Group. Mr. Wardle's practice includes representation of issuers and underwriters in equity and debt offerings, including IPOs and secondary public offerings, and representation of both public and private companies in mergers and acquisitions, including private equity, cross border, leveraged buy-out, distressed and going private transactions. He also advises clients on a wide variety of general corporate and securities law matters, including corporate governance issues.
