Working Groups

In addition to the Society’s three longstanding National Committees that are based on broad practice areas (Securities Law, Corporate Practices, and Sustainability Practices) and our two National Communities based on company type (Private Companies and Small- and Mid-Cap Companies), the Society has numerous Working Groups that focus on specific topics.

These Working Groups are great ways for members to learn, engage, and have real-world impact on specific topics. They can serve multiple purposes, including: 1) learning and staying abreast of regulatory or other developments via relevant content and programming; 2) connecting and information-sharing with peers; 3) professional development; and 4) helping to identify, develop, and execute the Society's public policy priorities via participation in benchmarking surveys, comment letters, virtual and in-person engagements with policy makers, and otherwise offering your perspectives and insights. Some Working Groups have a defined or natural end point or objective, while others are ongoing.

Below you will find the brief descriptions of the Society’s current Working Groups and recently formed Communities, along with eligibility requirements and staff contact information.

CURRENT WORKING GROUPS

AI Working Group

Open to all Society members, the AI Working Group informs Society programming, content, and other resources on AI as it impacts companies generally, corporate governance, and the governance profession. Any Society member may also join the AI Information Exchange, an online forum to exchange ideas, ask questions, and discuss emerging trends in AI shaping governance and corporate practice.

State Corporate Law Group

This group, open to all members, is the principal forum to facilitate members’ increased understanding and engagement on state corporate law developments. The group’s purpose is to both share information as well as advance the Society’s state advocacy efforts, including working on comment letters and engaging with policy makers, as opportunities arise. Key takeaways from the December 2025 kick-off meeting are here. By joining the corresponding online community, members will automatically be added to the State Corporate Law Group.

Scaled Disclosure Working Group

Created in May 2025 to inform our engagement with the SEC on small- and mid-cap disclosure issues and scaled disclosure, this group, which is open to all members, will continue to inform the Society's position in response to proposed changes to the SEC's disclosure requirements impacting small- and mid-cap companies. Members may also volunteer to participate in drafting comment letters and position papers and join our virtual engagements with representatives of the SEC on these issues as opportunities arise. Executive Compensation Working Group

Created in June 2025 to inform Society’s feedback/input in conjunction with SEC executive compensation roundtable, this group, which is open to all members, will continue to inform the Society's position in response to proposed changes to the SEC's executive compensation disclosure requirements. State Climate Disclosure Working Group

Launched in December 2024 as the CARB Working Group to inform our oral and written engagements with the California Air Resources Board on the regulations to implement California's state’s climate disclosure legislation (SB 253 and SB 261, as amended by SB 219), the State Climate Disclosure Working Group, which is open to all members, informs the Society's positions in response to proposed state-level climate disclosure laws/rules/regulations. Members may also volunteer to participate in drafting comment letters and position papers and join our virtual engagements with policy makers and staff. Relevant submissions to date are posted here.

Any Society member may also join the online State Climate Disclosure Forum to exchange ideas, ask questions about, and discuss strategies for compliance with these state reporting and disclosure laws and regulations.

EU Sustainability Working Group

Created in December 2024 to inform our written and oral engagements with the EU on its Omnibus I Simplification efforts with regard to the CSRD, CS3D, and EU Taxonomy, this group, which is open to all members, will continue to inform the Society's positions in response to proposed EU sustainability-related disclosure standards, regulations, and directives. GHGP Scope 2 Working Group

Formed in October 2025 to inform the Society's response to the Greenhouse Gas Protocol Scope 2 consultation, this group, which is open to all members, will continue to inform the Society's position on proposed changes to the GHGP standards. Relevant submissions to date are posted here.

SASB Standards Working Group

Created in August 2025 to help inform Society’s response to ISSB proposed amendments to SASB standards and IFRS S2 industry-based guidance, this group, which is open to all members, will continue to inform the Society's position on proposed changes to the SASB Standards and have opportunities to participate with Society leadership in any associated virtual engagements with representatives of the IFRS Foundation and ISSB. Nonprofit Governance Initiative Working Group

This group was created in September 2025 to explore the desire and perceived need for the development of a nonprofit governance framework, which the Society would potentially lead or collaborate on. The group is open to all nonprofit in-house members and anyone in the nonprofit ecosystem (e.g., nonprofit board members, governance consultants, and counsel).

NEW COMMUNITIES

Non-JD In-House Member Community

Created in September 2025 to provide a dedicated space to connect, exchange ideas, and share practical advice on addressing priorities and tackling challenges unique to non-JD members’ roles, this community, which is open to non-JD in-house members, is co-chaired by two of our non-JD members with meetings planned on a bi-monthly basis. In addition to the Community, any eligible member may also join the online forum.

Nonprofit Community

Launched in March 2025 as an informal corporate governance best practices networking and discussion group for the Society’s nonprofit members, this community is open to all nonprofit in-house members and anyone in the nonprofit ecosystem (e.g., nonprofit board members, governance consultants, and counsel).
