Open to all Society members, the Corporate Practices Committee serves as the principal member forum for monitoring and benchmarking best practices for boards of directors, corporate governance and the corporate secretarial function, including the application or implementation of final regulatory action. The committee benchmarks, analyzes data and produces publications on corporate governance and board practices, including meeting logistics, minutes and record retention, the application of state corporate law relating to board duties, functions and liability, D&O insurance and indemnification, director compensation and compensation and staffing of the corporate secretarial function.

Open to all Society members, the Securities Law Committee serves as the principal member forum to influence the development of federal and state securities laws and regulations by analyzing proposed securities legislation or SEC rule changes and interpretations, by drafting and submitting comment letters on issues of significance to public companies, and by meeting at least annually with the SEC staff to discuss the Society’s views on regulatory matters and operational issues.

Open to all Society members, the Sustainability Practices Committee serves as the principal member forum for monitoring and benchmarking best practices for sustainability policy, practice, and disclosure and for monitoring and influencing any legislative, regulatory or standard setting-related developments.

Open to all private company in-house corporate governance professionals, as well as private company directors and law firm members and governance and other consultants and advisors who represent and counsel private companies, the Private Companies Community focuses on corporate governance issues that are unique to companies that are not publicly traded Securities and Exchange Commission registrants, including widely held private companies, private equity portfolio and venture capital investment companies, family owned and/or controlled companies, mutually owned companies and not-for-profit corporations. If you are a Private Company in-house governance practitioner, you will automatically receive information about this community.

Open to all Society members, the Small and Mid-Cap Companies Community focuses on the unique needs and concerns of small-cap and mid-cap companies with regard to significant topics and issues of corporate governance, SEC compliance, and other related matters. Our goal is to share experiences and knowledge to help all of us do more in typically resource-constrained environments.

This community is exclusively for non-JD in-house Society members and offers a dedicated space to connect, exchange ideas, experiences, and resources, as well as share practical advice on issues unique to members’ roles, including ways to increase visibility and value, and address common challenges.

Through virtual meetings, members and guest speakers deliver targeted programming on corporate governance topics designed to strengthen processes, drive efficiency, and expand professional scope and impact. Engagement extends beyond meetings. Members are encouraged to mentor and connect with one another, participate actively in the discussion forum, and engage in Society and other national/regional conferences, webinars, and chapter events.
