Advocacy: SEC

The Society, acting through the Securities Law Committee (SLC), seeks to submit comment letters on all proposed SEC rulemakings that will have a meaningful, direct impact on public companies. The SLC typically will convene working groups of law firms, in-house members, and other members to draft and review specific letters.

In addition to comment letters, the Society engages with counsel (particularly those assigned to handle Corporation Finance Division matters) for the SEC chair and other Commissioners, sharing copies of comment letters and other concerns raised by the issuer community about current rules and proposed rulemakings. The Society has periodically scheduled meetings with Commissioners on major rulemakings, such as the 2024 climate disclosure rule; usually including members representing companies impacted by the rulemakings. These typically interactive meetings serve to crystallize challenges and concerns from the practitioner perspective. The Society also works with Commissioners’ staffers to facilitate regional meetings with Society members and invites a Commissioner to address the Society’s National Conference each year.
