In this recent post: "Should Everything be for the Record?," Directors & Boards contributor Drinker Biddle & Reath Partner Doug Raymond offers a welcome refresher on board meeting minute drafting (which applies equally to committee minutes), with specific focus on the level of detail that should be provided in various circumstances. As corporate secretaries know, drafting good minutes that pass muster with the board and that can also withstand third-party scrutiny in the event of litigation or a regulatory investigation is a challenge and achievement that is tested repeatedly over the course of one's governance and securities law career.
