Proxy Season: Virtual-Only, Proactive Disclosures, Board Gender Diversity Spike!

According to ISS Analytics, 127 virtual-only meetings were held from January - May 2018, compared to just 99 virtual-only meetings over the same period last year.  Additional noteworthy proxy season stats and trends observed thus far this season include record-high (i) proactive proxy disclosure on culture, diversity, board refreshment, and human capital management, and (ii) board gender diversity - with female directors represented at 35% on Russell 3000 boards and close to 39% in the S&P 500.
