ISS Launches Benchmark Policy Comment Period: Floats Possible US Policy Changes

Following its recent release of its global high-level and more detailed region-specific policy surveys - both of which the Society commented on here and here, respectively, ISS launched today its 2019 benchmark policy comment period with two US-specific voting policies potentially applicable in 2019: this one on board gender diversity, and this one on its financial performance assessment methodology - each of which describe the changes ISS is considering and request feedback on specific questions.
 
The proposed board diversity policy - which contemplates recommending votes against Nom/Gov Chairs (or other directors responsible for the board nomination process) on boards with no female directors, subject to enumerated mitigating factors - would be effective for Russell 3000/S&P 1500 meetings on or after February 1, 2020, and is expected to impact approximately 10% of the Russell 3000.  


The comment period ends on November 1st at 5 pm ET.
