Virtual Shareholder Meetings: State of Play

PwC's "Virtual shareholder meetings: What boards need to know" provides an overview of the state of play on virtual shareholder meetings - including state law requirements, best practice guidelines, potential upsides and downsides, select investor perspectives, and shareholder proposal activity - and suggests questions for the board to ask management before diving in.

Of 248 virtual meetings conducted in the 2019 proxy season, 93% were virtual-only and 97% of those meetings were audio-only, with Communications services and IT sector companies leading the pack by a large margin, as shown here:

The informative and timely resource recounts a number of the practices suggested in 2018 by the Best Practices Committee for Shareowner Participation in Virtual Annual Meetings, which Society President & CEO Darla Stuckey co-chaired.
