Virtual Board/Committee Meeting Considerations

In addition to addressing changes associated with annual shareholder meetings (discussed here), Dechert's "COVID-19 (Coronavirus) – Considerations for Board and Shareholder Meetings" serves as a reminder to companies that are considering changes to their board or board committee meeting schedules or formats to: (i) review their state law and governance documents for any restrictions or requirements concerning virtual or remotely attended meetings and meeting schedule changes; (ii) ensure that actions by written consent - if used - adhere to all requirements and are used only in proper circumstances; and (iii) consider all of the other factors that make for an effective and productive meeting and proper record-keeping, including remote access to and presentation of online meeting materials, data security, the ability to identify meeting participants throughout the meeting, and availability of adequate technology that promotes effective communications among all meeting participants.
