Note that according to Spencer Stuart’s most recent S&P 500 Board Index, the number of boards disclosing engagement of an independent third party to conduct/facilitate their evaluation increased from 13% to 21% year-over-year; however, a number of those companies use an outside facilitator “periodically” or every two or three years, which is much more common than annually for those companies that engage them.
