ISS Updates Key FAQs on Policy Application

ISS issued updated FAQs on how it analyzes select issues for its proxy analyses and vote recommendations. In addition to policy and administrative topics, the FAQs cover key topics relating to board composition, including director attendance, overboarding in the context of SPACs, and racial and ethnic diversity; poison pills and other “board accountability” issues; independent chair and social and environmental proposals; and more. The numerous new or materially updated questions are highlighted in yellow.
