Wilson Sonsini’s “The Director’s Guide to Management Equity Grant Committees” (Directors & Boards) provides an excellent overview of the recent changes to Delaware law (see our prior report here) that introduced significant flexibility on the part of the board to delegate authority to management to grant equity awards. In addition to comparing and contrasting the old and new rules, the article identifies a number of considerations that boards and management should take into account in determining whether and to what extent the company should take advantage of the increased flexibility and, if so, important decision points on delegation provisions and parameters.
