Sullivan & Cromwell’s “Delaware Court of Chancery Holds for the First Time that Corporate Officers Owe a Duty of Oversight” contextualizes the Delaware Court of Chancery’s recent decision extending a duty of oversight to corporate officers (we reported on last week here – see “Duty of Oversight”) and outlines a number of important caveats, considerations, and potential implications/nonimplications (including as relates to recent changes in Delaware law permitting exculpation of corporate officers from personal liability) that may be considered for discussion with management and the board.
