Earnings Releases and Forms 10-Q/10-K: Timing Practices

Wilson Sonsini’s “Snapshot: Earnings Release and Periodic Report Timing” benchmarks the most common days of the week for earnings releases and Form 10-Q/10-K filings and the average number of days between earning releases and Form 10-Q/10-K filings based on the firm’s review of the most current releases and filings made by 30 companies in the SV150, which is composed of the top 150 companies headquartered in Silicon Valley based on annual sales.

Generally, earnings are most commonly released midweek, while Form 10-Qs and 10-Ks are most commonly filed on Fridays. The spread between earnings releases and Form 10-Qs, and earnings releases and Form 10-Ks, averages one day and about 15 days, respectively, although the range of the spread across companies is much broader (zero to 14 days for Form 10-Qs, and zero to 44 days for Form 10-Ks).
