This new report from the Council of Institutional Investors (CII) Research and Education Fund: “Management Succession Planning Disclosure in 2023 Proxy Statements” reveals the results of its review of S&P 100 proxy statement management succession planning disclosures across nine elements. As noted below, a majority of companies addressed in some fashion the role of the board as a whole, board committee involvement, long-term succession planning, and measures taken to identify internal candidates.
