Venable’s “Forward-Looking Statements: Safe Harbors Compliance Guidelines” explains the scope of applicability and coverage of each of the three principal forward-looking statement safe harbor defenses—Rule 175 and corresponding Rule 3b-6 under the Securities and Exchange Acts, respectively; the PSLRA; and the bespeaks caution doctrine—and suggests practice tips for companies to maximize protections in the context of other relevant considerations (e.g., filing vs. furnishing a document with the SEC). Notably, the memo details PSLRA compliance do’s and don’ts for both written and oral statements, inclusive of practical guidance aimed at easing compliance efforts.
